Terms of Service

These Terms of Service ("Terms") govern your access to and use of Verba, a meeting management platform for homeowners associations, available at useverba.app (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who May Use the Service

You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a homeowners association or management company, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at notifications@useverba.app if you suspect unauthorized use of your account.

3. Community Data — Ownership and Responsibility

Each HOA community using the Service (the "Customer") retains ownership of the data it enters into the Service, including resident information, property records, meeting content, minutes, and uploaded documents ("Community Data").

The Customer, acting through its board members and administrators, is responsible for:

- The accuracy of information entered into the Service - Determining who within the community may access which records (e.g., executive session materials) - Complying with applicable Indiana HOA law, including notice periods, quorum requirements, and record-retention obligations - Obtaining any consents needed to share resident contact information through the Service

Verba acts as a service provider that hosts and helps generate these records; Verba does not independently verify the legal sufficiency of any notice, agenda, motion, vote, or minutes generated through the Service.

4. Acceptable Use

You agree not to:

- Use the Service for any unlawful purpose - Upload content that infringes another party's rights or that you do not have the right to share - Attempt to gain unauthorized access to another community's data - Interfere with or disrupt the integrity or performance of the Service - Reverse engineer or attempt to extract the source code of the Service, except as permitted by law

5. Live Meetings

Live video meetings are provided through a third-party video infrastructure provider. Recording is off by default. If a community administrator enables recording, that community is responsible for complying with any applicable notice-of-recording obligations to meeting participants.

6. Fees

The Service is currently offered free of charge during this phase of availability. We will provide advance notice before introducing paid plans, and continued use of paid features after that point will require agreement to updated payment terms.

7. Intermediary / Not Legal Advice

Verba is a software tool. Nothing in the Service, including automated deadline calculations, quorum calculations, or generated documents, constitutes legal advice. Communities should consult their own legal counsel regarding compliance with Indiana HOA law or their governing documents.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access to the Service if we determine, in good faith, that a user has violated these Terms or that continued access poses a security risk to the Service or other users. Where practical, we will provide notice before termination.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, Verba and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from your use of the Service.

11. Changes to the Service or Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and will notify community administrators by email of material changes. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles.
